Below it, a duplex or fourplex usually trades and finances like a house. At five units and up, the property is valued like a business, on the income it produces, and it qualifies for the kind of institutional ownership a DST represents.

The category spans a wide band. On one end sit garden-style communities, two and three stories spread across leafy suburban acreage, the workhorse of the apartment world. In the middle are mid-rise buildings on infill lots closer to job centers. At the top are urban high-rises, which carry higher construction and operating costs and tend to swing harder with the local economy. Most of what reaches the DST market is garden-style and mid-rise product in growing metros, because that is where the demand is steadiest and the management most repeatable.

For an exchanger on a clock, depth is practical, not academic. A deep market means more offerings open at any moment, more variety in geography and strategy, and a better chance of finding a deal that fits an exact replacement amount inside the 45-day identification window. When the menu is thin, investors compromise. With apartments, the menu is rarely thin.

What keeps the apartments full

The demand case for multifamily starts with a number that has been a long time in the making: the country has not built enough housing. Estimates of the national shortfall run into the millions of units, the result of more than a decade of underbuilding after the last housing crash. When supply lags household formation by that much for that long, rental demand stays firm even when the broader economy cools.

Demographics push the same direction. Younger adults are renting longer and buying their first home later, priced out by home values and mortgage rates that have made ownership a stretch in much of the country. At the other end, older households are downsizing out of single-family homes and renting by choice. Both groups land in apartments. High mortgage rates add a near-term tailwind: when buying a house is expensive, the renter pool grows, because the family that would have bought stays put and signs another lease.

None of this guarantees any single building stays full. Local supply, jobs, and pricing all matter, and we get to the oversupply risk below. The point is broader. The structural demand for rental housing rests on forces, a housing deficit, delayed ownership, an aging population, that move slowly and do not reverse in a quarter.

Compare that with a net-lease asset locked into a fixed bump for fifteen years: when inflation runs hot, the long-lease owner watches real income erode while the apartment owner re-prices. Not every apartment deal is built the same way. Sponsors sort their strategies into a rough ladder of risk and intended return, and knowing where a given DST sits tells you most of what you need about how it will behave.

Core deals own stabilized, well-located, newer properties with little debt and little work to do. The return arrives mostly as steady distributions; the swings are small. Core-plus takes a step out: slightly older buildings, a bit more debt, some light upgrades to push rents. Value-add is the active end, buying older or underperforming communities, renovating units, raising rents, and aiming for a larger gain on sale. The trade-off is plain. Value-add can deliver more if the plan works, and it relies on rent growth, renovation budgets, and a sale at a good price, any of which can slip.

Most DSTs sit toward the core and core-plus end, because the structure leaves little room for the active management a deep value-add plan needs. A glossy renovation pitch with heavy leverage is a different investment from a stabilized community throwing off rent on day one, even when both wear the multifamily label.

How a multifamily DST is built

Most accredited investors do not buy an apartment complex outright. They buy a fractional beneficial interest in a Delaware Statutory Trust that owns one community or a portfolio of several. The trust holds title, a sponsor arranges the financing, and a professional property-management company handles the leasing, the maintenance, the resident relations, all the daily work an apartment building demands. The investor's interest is sized to whatever dollar figure their exchange requires, which solves a problem the open market cannot: you cannot buy 58 percent of an apartment building, but you can buy 58 percent worth of a DST.

That professional-management layer is more important in multifamily than in almost any other DST asset. An apartment community is an operating business with hundreds of moving parts and a rent roll that turns over every year. Run well, it grows income; run poorly, it bleeds. The sponsor and the management company they hire are doing real work every day, well beyond collecting a long-lease rent check, which makes operator selection central to the diligence.

The trade-off is control, and the IRS draws that line on purpose. Under Revenue Procedure 2004-86, the rules that let a DST interest qualify for 1031 treatment, the trust operates inside tight limits sometimes called the seven deadly sins. Once the offering closes, the sponsor cannot raise new capital, cannot refinance, and cannot reinvest sale proceeds. Those constraints are part of why multifamily DSTs lean toward stabilized, income-producing communities rather than ground-up or deep-turnaround plays that would need more active intervention than the structure allows.

Yields, growth, and what the record shows

Multifamily is bought for a blend of current income and growth, and that blend is what separates it from a pure-yield asset like net lease. Going-in cash yields tend to start lower than net lease, because buyers are paying for the rent growth ahead. Read that table against the net-lease record and the difference is the whole story. Net-lease holds run long and pay you mostly in steady rent. Multifamily holds are shorter, the going-in yield is thinner, and the heavy lifting comes from income growth and the gain on sale. The 18.3 percent average annual return on realized deals carries a loud asterisk: it leans on a stretch of unusually strong apartment appreciation, it is an average across many deals that did not all behave alike, and nothing about it is promised on the next one.

Sun Belt growth and the supply problem

Much of the apartment product in DSTs sits in the Sun Belt, the band of fast-growing metros across the South and Southwest: Texas, Florida, the Carolinas, Arizona, Georgia, Tennessee. The pull is obvious. Jobs and people have moved there for years, drawn by lower costs, warmer weather, and business-friendly states, and that in-migration has fed strong rent growth across a long stretch.

The same growth invites its own undoing. Builders chase rising rents, and because much of the Sun Belt is easy to build in, with flat land and lighter permitting, supply can arrive in a flood. When too many new units open in the same metro in the same eighteen months, even a city adding residents fast can find itself with more apartments than renters at current rents. The result is concessions, free months, soft renewals, and flat or falling rents until the market absorbs the glut. Several popular Sun Belt metros worked through exactly that kind of supply wave recently.

This is the risk that most often surprises a first-time apartment investor. Strong demand and heavy new supply can sit in the same market at the same time, and the second can swamp the first for a year or two. A community in a metro about to absorb a wall of new deliveries is a different investment from one in a market where building has slowed, even if both sit in the same fast-growing state.

Interest rates and the debt picture

Multifamily deals usually carry more debt than a typical net-lease DST, and that leverage cuts both ways. In a rising-rent market, debt magnifies the gain to equity. When rents stall or rates climb, the same debt magnifies the pain. Interest rates touch an apartment deal through two doors. They lift the property's cap rate, which softens value even if the building performs, and they raise the cost of the loan itself, which eats into the cash that reaches investors.

The detail that catches people is loan structure. Some deals carry fixed-rate debt that locks the cost for the hold; others use floating-rate or shorter-term loans that have to be refinanced before the property is sold. A floating-rate deal underwritten when money was cheap can look very different after rates jump, and because a DST generally cannot refinance, a loan coming due can force a sale at an inconvenient moment. We read the debt terms, the rate, fixed or floating, the maturity, any rate cap, before we read the return projection. The projection assumes the debt behaves. The debt does not always cooperate.

721 UPREIT roll-ups in multifamily

Apartments are where the 721 UPREIT exchange shows up most often, so it is worth understanding even before you buy. In a 721 transaction, a real estate investment trust acquires the property and the DST investors receive operating-partnership units in the REIT instead of cash. Their single-asset, illiquid position converts into a stake in a larger, diversified apartment portfolio, with continued tax deferral on the original gain.

Several large sponsors run apartment DSTs as a pipeline into a REIT they also control, with the 721 roll-up as the planned exit from the start. That can be an appealing path: it trades one building's concentration for a diversified portfolio and gives the investor a more liquid holding than a single DST interest. It also has real trade-offs. Once you hold OP units, you are along for the REIT's ride, your future returns track its performance, not your original property, and the move generally closes the door on another 1031 exchange of that specific asset later. We walk clients through the mechanics before they commit, because a deal sold partly on its UPREIT exit deserves scrutiny of the REIT on the other side, as much as the building going in.

Who it suits, and who should look elsewhere

Multifamily fits an investor who wants real estate that can grow, who is comfortable trading some current yield for the chance at rent growth and a gain on sale, and who can accept more moving parts than a single long lease. Exchangers who want their replacement property to keep pace with inflation, and who do not need the very highest day-one cash, tend to land here. The depth of the market also makes apartments a practical default when the clock is tight and you need real options fast.

It is a weaker fit for an investor whose first need is the steadiest possible monthly check with minimal swings; net lease usually serves that goal better, since a long credit lease does not reprice every year. It is also a poor fit for anyone uncomfortable with leverage or with the value swings that come from annual leases and rate moves. Apartments reward patience and a tolerance for operating risk. If neither describes you, the asset can disappoint even in a good market.
